Welcome to Vaangio! These Terms and Conditions ("Terms") constitute a legally binding agreement between you("user," "you," or "your") and Vaangio("we," "us," or "our"), governing your access to and use of our website www.vaangio.com (the "Website"), "Vaangio" application for mobile and handheld devices (the "App"), (collectively, the "Platform").  We encourage you to read these Terms carefully to ensure a safe, transparent, and enjoyable experience.

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and other policies (including but not limited to the Privacy Policy, Cancellation & Refund Policy) in their entirety. If you do not agree with any part of these Terms, kindly refrain from using our Platform and/or it’s services.

1. Service Description

Vaangio is a Platform that connects customers with local restaurants for food delivery. We facilitate the ordering and delivery process but do not prepare food or act as a restaurant. As our business grows, we aim to expand our services to include other essential needs such as groceries, vegetables, fruits, meat, and more.

2. Use of the Platform

2.1 Access to the Platform and its Services is restricted to individuals who have attained the legal age of majority i.e.18 years. 

2.2 By accessing or using the Platform, you represent and warrant that you are of legal age and possess the requisite capacity to enter into and abide by these Terms. Users must provide accurate and complete information during registration and ordering.

2.3 If a minor accidentally uses the Platform, the parent or legal guardian agrees to:

  1. Notify the Platform's customer support promptly of such usage and resolve the issue. 
  2. The account in question will be immediately suspended or terminated. 
  3. Accept responsibility for any transactions or use of the Platform by the minor.

2.4 To access certain features of the Platform, you are required to create an account by providing accurate, complete, and current information. You agree to maintain the confidentiality of your account credentials/login credentials and are solely responsible for all activities conducted under your account.

2.5 Unauthorized use of your account, including but not limited to sharing account details with others, impersonating another user, or accessing another person's account without permission, is strictly prohibited. We reserve the right to suspend or terminate any account involved in unauthorized activities. Additionally, you must promptly report any suspected unauthorized access or breach of your account to us within 24 hours of such breach. Failure to comply with these responsibilities may result in liability for damages or loss incurred due to unauthorized activities conducted through your account.

2.6 We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform strictly for personal and lawful purposes, including browsing, ordering, and receiving food and grocery delivery services.

2.7 We encourage all users to engage with the platform in ways that contribute to a safe, reliable, and enjoyable experience for everyone. By adhering to these guidelines, you help maintain the integrity and trustworthiness of our services:

  1. You shall comply with applicable laws while using the Platform, including laws related to food safety and consumer protection.
  2. You shall only place genuine orders and provide accurate information to ensure the integrity of transactions and deliveries.
  3. You agree to use promotional offers, discounts, and referral programs solely as intended and in accordance with the Platform’s policies.
  4. You shall treat other users, delivery partners, restaurant partners, and employees with respect and shall not engage in harassment, threats, or discriminatory behavior.
  5. You shall use the Platform responsibly and refrain from actions that disrupt, interfere with, or compromise its security or functionality.
  6. You shall access only your account and shall not impersonate any person or entity or misrepresent your identity.
  7. You shall ensure the accuracy of account details, addresses, and delivery instructions to facilitate smooth and efficient delivery operations.
  8. You shall not obstruct delivery personnel or compromise their safety in any manner.
  9. You agree to provide honest and accurate feedback, refraining from any actions that manipulate reviews, ratings, or the Platform’s reputation.
  10. You shall use the Platform strictly for personal, non-commercial purposes and shall not advertise or promote unauthorized services or activities.
  11. You shall respect the privacy of others and not collect, store, or share personal data without authorization.
  12. You agree to share only constructive and lawful content, avoiding fraudulent, defamatory, obscene, or harmful material.
  13. You shall uphold the Platform’s integrity and reliability through ethical and lawful usage at all times.

Any violation of these terms may result in the suspension or termination of your account and may lead to legal action as deemed necessary by Vaangio

2.8 Users of the platform are strictly prohibited from engaging in any of the following activities, which includes, but is not limited to: 

  1. Engaging in any activity that violates applicable laws, infringes upon the rights of others, or disrupts the safe, reliable, and fair use of the platform
  2. Accessing another user’s account or personal data without authorization, impersonating any person or entity, or misrepresenting your identity or affiliation.
  3. Providing false, inaccurate, or misleading account details, delivery addresses, or instructions that compromise the delivery process.
  4. Initiating fraudulent transactions, including placing fictitious or deceptive orders, providing false information, or engaging in payment-related fraud.
  5. Exploiting promotional offers, discounts, or referral programs contrary to the intended purpose or in violation of the platform's fair use policies.
  6. Harassing, threatening, or discriminating against other users, delivery partners, restaurant partners, or the employees and representatives of the platform.
  7. Engaging in abusive, inappropriate, or unethical behavior toward delivery partners, restaurant staff, customer service representatives, or other users of the platform.
  8. Obstructing or hindering delivery personnel in performing their duties or endangering their safety in any manner.
  9. Manipulating, falsifying, or tampering with reviews, ratings, or feedback on the platform for personal gain or to harm others.
  10. Tampering with food or requesting unsafe modifications to food or packaging in contravention of health and hygiene standards.
  11. Using the platform to advertise or promote unauthorized commercial activities or services without the prior consent of the platform.
  12. Collecting, harvesting, or sharing the personal data of other users, delivery partners, or platform partners without explicit consent or in contravention of applicable data protection laws.
  13. Sharing, transmitting, or distributing content that is fraudulent, defamatory, obscene, or otherwise illegal or harmful to the platform or its users.
  14. Tampering with, circumventing, disabling, or otherwise interfering with the platform’s security mechanisms or introducing harmful software, including, but not limited to, viruses, worms, or malware.
  15. Undertaking any action that undermines, damages, or compromises the reputation, reliability, or integrity of the platform.

2.9 Vaangio reserves the right to take enforcement actions, including, but not limited to, suspension or termination of user accounts, cancellation of orders, or initiating legal proceedings, in response to any violation(s) or prohibited activity. 

2.10 You may request the deletion of your account at any time by contacting our customer support or using the account deletion feature available on the Platform. If such a request is received through our customer support, Vaangio will verify your identity and proceed to delete your account and associated data, except as required to retain certain information for legal, regulatory, or legitimate business purposes as permitted under applicable laws. Deletion of your account is permanent, and you will no longer have access to the platform or any data associated with the deleted account. However, you retain the right to open a new account on the platform in the future, subject to compliance with the applicable Terms of Use and registration requirements.

3 Ordering, Pricing, and Payment

3.1 Orders placed through the Platform are subject to acceptance (if opted for Cash on Delivery (COD)) by the respective Store and/or Vaangio and subject to product availability. Vaangio reserves the right to refuse or cancel any order at its discretion.

3.2 Prices displayed on the Platform are subject to change without prior notice and may include applicable taxes, fees, and delivery charges as communicated during the checkout process.

3.3 Payment for orders must be made through the Platform's approved payment method(s). 

3.4 Vaangio reserves the right to offer additional payment methods and/or remove existing payment methods at any time in its sole discretion.

3.5 Refunds, where applicable, will be processed in accordance with Vaangio's Refund Policy, which forms an integral part of these Terms.

4. Delivery Terms and Conditions

4.1 Vaangio endeavors to deliver orders within the estimated timeframe of 45min-1hour; however, such timeframes are indicative only and may be subject to delays arising from factors beyond Vaangio’s reasonable control.

4.2 It is the User's responsibility to ensure availability to receive the delivery. Failure to do so may result in additional charges or cancellation of the order at Vaangio’s discretion.

5 Cancellations, Modifications, and Returns

5.1 Users may request order modifications or cancellations before the acceptance of the order, subject to approval by Vaangio in case of modification.

5.2 Vaangio reserves the right to cancel orders due to foods/products unavailability, pricing errors, or suspected fraudulent activities, out of coverage area and any other unavoidable circumstances, with or without prior notice.

5.3 Returns or exchanges, if permitted, will be governed by Vaangio's Cancellation & Refund Policy.

6 Intellectual property rights

6.1 All intellectual property rights, including proprietary information pertaining to the Platform and its services, are the sole and exclusive property of Vaangio. No rights, title, or interest in the aforementioned intellectual property shall be deemed transferred to the user, except for the limited license granted herein.

6.2 Intellectual property rights related to any third-party trademarks, logos, content, or materials displayed on the Platform shall remain vested in their respective owners. The inclusion of such third-party elements does not imply endorsement or affiliation with Vaangio.

6.3 In the event that any third party alleges copyright infringement in connection with any content made available on the Platform, the alleging party shall notify Vaangio in writing at the contact details provided on the Platform, specifying the content alleged to infringe, the basis of the claim, and providing all relevant evidence to substantiate the allegation. Upon receipt of such notice, Vaangio shall, at its sole discretion, determine the validity of the claim, taking into consideration the evidence provided by the alleging party as well as its independent investigation into the matter. In cases where the claim is deemed legitimate, Vaangio shall take appropriate action in accordance with applicable laws, including but not limited to the temporary or permanent removal of the disputed content from the Platform. Furthermore, Vaangio reserves the right to communicate with the user or contributor responsible for the content to address the grievance and, if necessary, take additional corrective measures, including termination of their access to the Platform in cases of repeated or willful infringement.

7. Product Descriptions and Warranties

Vaangio makes reasonable efforts to ensure the accuracy of product descriptions and information on the Platform. However, Vaangio does not warrant that such information is free from errors or omissions.

8. Customer Reviews and Feedback

8.1 Users may be permitted to submit reviews, comments, or feedback regarding their experience with the Platform. Vaangio reserves the right to remove content deemed inappropriate, offensive, or false.

8.2 By submitting feedback, the User grants Vaangio a non-exclusive, royalty-free, perpetual license to use, reproduce, and display such feedback for marketing or operational improvements.

9. Promotion and Rewards Program

Vaangio may offer promotional campaigns, discounts, or rewards programs such as cashback offer to eligible users from time to time. 

  1. Participation in such programs is subject to specific terms and conditions, which will be communicated at the time of the offer. 
  2. Rewards may be earned based on user activity, purchases, or other qualifying actions as defined by Vaangio. 
  3. The availability, duration, and eligibility criteria for any promotional campaigns or rewards programs are at the sole discretion of Vaangio. 
  4. REWARDS ARE NON-TRANSFERABLE AND MAY NOT BE EXCHANGED FOR CASH. 
  5. Vaangio reserves the right to modify, suspend, or terminate any promotion or rewards program at any time without notice. Users are responsible for understanding and complying with the applicable rules for participation.

10. Notifications and Communications

10.1. Vaangio may send notifications or communications to the User via email, SMS, or app notifications. By using the Platform, the User consents to receiving such communications.

10.2. Users are responsible for ensuring that the contact information they provide is accurate and up-to-date.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Vaangio, affiliates, partners, and employees shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to your use of the platform, services, or content. This includes, but is not limited to:

  1. Errors, inaccuracies, or delays in order processing, delivery, or fulfillment by restaurant or delivery partners.
  2. Issues related to the quality, safety, or hygiene of the food or grocery items provided by restaurant partners or suppliers.
  3. Failures or interruptions of service due to technical difficulties, system errors, or unforeseen circumstances.
  4. Unauthorized access to or misuse of your account by third parties.
  5. Loss, damage, or injury caused by delivery partners or third-party providers during the delivery process.
  6. Loss of data, revenue, business opportunities, or any other economic disadvantage related to the use of the platform.
  7. The platform is not responsible for delays, non-performance, or service interruptions caused by force majeure events, including natural disasters, strikes, or other events beyond reasonable control.
  8. The platform disclaims liability for any unauthorized modifications or tampering with food items or packaging after they have been delivered.
  9. The platform is not liable for any inaccuracies or errors in menu descriptions, pricing, or availability of items provided by restaurant or grocery partners.
  10. Users are solely responsible for ensuring that the product(s) you order, meet your dietary requirements, including allergy considerations, and the platform is not liable for adverse reactions.
  11. The platform is not liable for any dissatisfaction with the quality, portion size, or presentation of food or groceries provided by third-party vendors.
  12. The platform makes no guarantees regarding the availability or punctuality of delivery partners and disclaims liability for delays or cancellations caused by delivery logistics.
  13. The platform shall not be held responsible for any damage to goods caused during delivery unless explicitly authorized by its policies.
  14. Any recommendations, reviews, or ratings provided on the platform are subjective and do not constitute endorsements or guarantees by the platform.
  15. The platform disclaims liability for any loss, theft, or damage to items left unattended at the delivery location as instructed by the user.
  16. The platform shall not be held responsible for any unauthorized use of promotional codes, discounts, or credits not issued or approved by the platform.
  17. The platform does not warrant the continuous compatibility of the app with all devices or operating systems and is not liable for technical difficulties arising from such issues.
  18. USERS ACKNOWLEDGE THAT THE PLATFORM DOES NOT DIRECTLY PREPARE, HANDLE, OR DELIVER FOOD ITEMS AND ACTS SOLELY AS AN INTERMEDIARY TO FACILITATE TRANSACTIONS BETWEEN USERS, RESTAURANTS, AND DELIVERY PARTNERS.

Vaangio does not guarantee the continuous, uninterrupted, or error-free operation of its services and makes no warranties regarding the suitability, reliability, or availability of the platform for your specific needs. By using the platform, you acknowledge and agree that your reliance on the services is at your sole risk, and any liability attributable to the platform shall be limited to the amount paid by you for the affected transaction 

12. Privacy Policy

Your personal information is handled in accordance with our Privacy Policy.

13. Governing Law and Dispute Resolution:

13.1 These Terms shall be governed by and construed in accordance with the laws of India and all disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts at Virudhunagar district, Tamil Nadu, India. 

13.2 Any disputes arising out of or in connection with these Terms, including disputes related to their validity, interpretation, performance, or termination, shall first be attempted to be resolved amicably through good faith negotiations between the parties. If such negotiations fail to resolve the dispute, the matter shall be referred to binding arbitration conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended from time to time) and the arbitration proceedings shall take place in Virudhunagar district, Tamil Nadu, India. 

14. Force Majeure:

Vaangio shall not be held liable for any failure or delay in the performance of its obligations under these Terms of Service due to events beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, civil unrest, government actions or regulations, labor strikes, fires, floods, pandemics, cyberattacks, failures of telecommunication or digital transmission links, internet slowdowns or outages, power outages, or any other unforeseen circumstances. In the event of a force majeure situation, Vaangio reserves the right to suspend or terminate affected services without liability or obligation to provide compensation.

15. Third-Party Dependencies & Services:

15.1 Third-Party Dependencies: Our services may incorporate, rely on, or interact with software, services, or other materials developed and owned by third parties (“Third-Party Dependencies”). These may include, but are not limited to, open-source libraries, third-party APIs, hosting providers, and other integrated services. Your use of such third-party components may be subject to additional terms and conditions imposed by the respective third parties, which you agree to comply with as a condition of using our services.

We are not responsible for the functionality, availability, or security of any Third-Party Dependencies and disclaim all liability arising from your use thereof. You acknowledge and agree that we may modify, replace, or remove Third-Party Dependencies at our discretion, and such changes may affect the features or performance of our services.

15.2 The Platform may display advertisements from third parties(“Third-Party Services and Affiliates”). These advertisements may include links to websites or services not operated or controlled by Vaangio. Vaangio does not endorse or guarantee the accuracy, quality, or reliability of any advertised content, products, or services. Your interactions with third-party services are governed solely by their respective terms and policies, and Vaangio shall not be held liable for any damages or losses arising from your use of or reliance on third-party services. You acknowledge and agree that it is your responsibility to review and understand the terms, privacy policies, and practices of any third-party service before engaging with them.

16. Disclaimer

The information, products, and services provided by Vaangio are offered on an "as is" and "as available" basis without any guarantees, warranties, or representations, whether express or implied. To the fullest extent permitted by law, Vaangio disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Vaangio shall not be held liable for any errors, omissions, or inaccuracies in the content provided; interruptions, delays, or failures in service, including technical issues or outages; third-party content, actions, or services accessed through the platform; damages, losses, or inconveniences arising from the use or inability to use its services; unauthorized access to or alteration of user data; or direct, indirect, incidental, consequential, or punitive damages resulting from user actions, interactions, or reliance on its services. Additionally, claims arising from force majeure events, such as natural disasters, war, cyberattacks, or unforeseen circumstances, are excluded from liability. Users are responsible for ensuring that their use of Vaangio's services complies with all applicable laws, regulations, and third-party agreements. Furthermore, Vaangio reserves the right to modify, suspend, or discontinue services or content at any time without notice.

17. Indemnification:
17.1 You agree to indemnify, defend, and hold harmless Vaangio, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including but not limited to reasonable attorneys' fees and court costs) that arise out of or relate to: (i) your use or misuse of the services; (ii) your breach or violation of these Terms or any applicable law, regulation, or third-party rights; (iii) your violation of any intellectual property or other proprietary rights of a third party; (iv) any content or materials you submit, upload, post, transmit, or otherwise make available through the services; or (v) any other actions connected with your use of the services.

17.2 We are entitled to assume the exclusive defense and control (at your expense) of any matter subject to indemnification under this clause. You agree to cooperate fully with us in defending or settling such claims and to provide any assistance or information reasonably requested by us. Notwithstanding the foregoing, we reserve the right, at our sole discretion and not at our own risk, to approve any settlement or resolution of a claim that imposes any obligations on Vaangio.

17.3 This indemnification obligation shall survive the termination or expiration of these Terms 

18. No Waiver:

18.1 The failure of Vaangio to enforce any provision of these Terms, exercise any rights under this agreement, or take any action against a breach by you shall not be construed as a waiver of such provision, right, or action. Any waiver of any provision or right by Vaangio shall only be valid if expressly provided in writing and published on the Platform of Vaangio.

18.2 Additionally, Vaangio retains all rights and remedies provided under these Terms, which remain cumulative and may be exercised individually or collectively without limiting any other rights or remedies available under applicable law.

19. Severability:

If any provision of these Terms is found to be invalid, such provision shall be deemed severed from the agreement and shall not affect the validity and enforceability of the remaining provisions. Such disputed provision could be replaced with a valid and enforceable provision that comes closest to the original intent and purpose of the provision.

20. Survival:

Any provisions of these Terms that, by their nature, should survive termination of the agreement shall remain in effect. This includes, but is not limited to, provisions related to payment obligations, indemnification, limitation of liability, warranties, disclaimers, dispute resolution and governing law. Such clauses shall survive termination and continue to bind the parties to the extent necessary to enforce their respective rights and obligations.

21. Termination:

21.1 Users may terminate their use of Vaangio 's services at any time by closing/deleting their account or ceasing to access the platform. Upon termination, any rights granted to the user under these Terms will cease immediately. However, the user remains responsible for any outstanding obligations or liabilities incurred prior to termination. Depending on the nature of the service, certain provisions of these Terms may survive termination, including but not limited to those related to payment, indemnification, and limitation of liability. 

21.2 Vaangio reserves the right to terminate or suspend access to its services, accounts, or agreements at its sole discretion, without prior notice, for reasons including but not limited to a breach of these Terms of Service, unlawful activity, misuse of services, or actions that may harm Vaangio, its users, or third parties. Upon termination, your right to use the services will cease immediately, and Vaangio may delete or deactivate your account and associated data without liability or obligation to provide compensation. Users may also terminate their use of the services at any time, subject to any outstanding obligations under these Terms of Service. Termination of services does not release users from their responsibility to comply with applicable laws or fulfill any outstanding commitments to Vaangio

22. Entire Agreement:

These Terms, along with our Privacy Policy, Cancellation & Refund Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Vaangio with respect to your use of the Platform. 

23. Assignment:

23.1 You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms. Any such attempted assignment, transfer, sublicense, or delegation without proper authorization shall be null and void and of no effect.

23.2 Vaangio, however, reserves the right to assign or transfer its rights and obligations under these Terms to any party, without your consent, including but not limited to situations involving a merger, acquisition, reorganization, sale of assets, or by operation of law. Such assignment or transfer shall not affect your rights or obligations under these Terms.

23.3 These Terms of Service shall be binding upon and inure to the benefit of the parties hereto, as well as their respective successors and permitted assigns. By continuing to use the services after any assignment or transfer by Vaangio, you signify your agreement to be bound by the terms of the assignment or transfer

24. Modification of the Platform

Vaangio reserves the right to modify, update, or discontinue any features, functionalities, or services of the platform, in whole or in part, at any time and at its sole discretion, without prior notice. Such modifications may include changes to the platform's design, content, tools, or accessibility. While Vaangio endeavors to ensure continuous functionality, you acknowledge that such updates or modifications may impact your access or usage of the platform. By continuing to use the platform after modifications, you agree to be bound by any revised Terms governing such changes.

25. Changes to Terms

Vaangio reserves the right to amend, modify, or update these Terms at its sole discretion and without prior notice. Any changes shall become effective upon their publication on the Platform. It is the User's responsibility to review these Terms periodically to ensure compliance. Continued use of the Services following such changes constitutes acceptance of the revised Terms.
